1. Introduction

These terms and conditions govern your use of the VEDA AI LTD (“VEDA”, “we”, “us”) website at vedaai.co.uk and any services provided through it. By accessing our website or engaging our services, you agree to be bound by these terms.

2. Services

VEDA provides technology consultancy, bespoke software development, AI and automation services, and related professional services. The specific scope, timeline, and deliverables for any engagement will be set out in a separate statement of work or proposal agreed between VEDA and the client.

3. Intellectual property

All content on this website — including text, graphics, logos, videos, and design — is the property of VEDA AI LTD and is protected by UK and international intellectual property laws.

Unless otherwise agreed in writing, intellectual property in bespoke work produced for clients will be assigned to the client upon full payment. VEDA retains the right to use general knowledge, techniques, and non-confidential methodologies developed during an engagement.

4. Client obligations

When engaging our services, you agree to:

  • Provide accurate and complete information necessary for project delivery
  • Provide timely feedback and approvals as outlined in the project timeline
  • Ensure you have the necessary rights and permissions for any materials you provide
  • Make payments in accordance with the agreed terms

5. Payment terms

Payment terms are specified in individual project proposals or statements of work. Unless otherwise agreed, invoices are payable within 14 days of issue. We reserve the right to charge interest on overdue amounts at 8% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

6. Confidentiality

Both parties agree to treat as confidential any proprietary or sensitive information disclosed during an engagement. This obligation survives the termination of any agreement and does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

7. Limitation of liability

To the maximum extent permitted by law, VEDA's total liability arising from or in connection with any engagement shall not exceed the total fees paid by the client for the relevant project.

VEDA shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or business opportunities, regardless of the cause of action.

8. Termination

Either party may terminate an engagement by providing 14 days' written notice. In the event of termination, the client shall pay for all work completed up to the date of termination. Any pre-paid fees for undelivered work will be refunded on a pro-rata basis.

9. Website use

When using this website, you agree not to:

  • Use the site for any unlawful purpose
  • Attempt to gain unauthorised access to any part of the site
  • Reproduce, duplicate, or copy any content without our written permission
  • Introduce viruses or any other malicious code

10. Governing law

These terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to these terms

We may update these terms from time to time. Any changes will be posted on this page with an updated revision date. Continued use of our website or services after changes constitutes acceptance of the revised terms.
